These Terms of Service govern access to and use of the Onir website, platform, and related services provided by Timothee Lefebvre ("Fexor", "Onir", "we", "us", "our").

By accessing the website, requesting a demo, creating an account, or using the platform, the customer or user agrees to these Terms of Service.

At present, the services are offered without a registered separate legal entity. Until a company is incorporated, the website and services are operated by Timothee Lefebvre personally.

2. Services

Onir is a software and analytics platform intended primarily for business users. The scope of services may include forecasting, analytics, integrations, data processing, dashboards, decision-support tools, and related support.

The exact scope of services depends on the applicable offer, order, subscription plan, statement of work, or other written agreement.

3. Business use

Onir is intended for business and professional use. Users may only use the services on behalf of themselves, their employer, or another authorised organisation.

4. Accounts

Users must provide accurate information when creating an account and keep credentials confidential.

The customer is responsible for all activities carried out through its accounts and for ensuring that only authorised users access the platform.

We may suspend or restrict access if we reasonably believe that credentials have been compromised or that the service is being misused.

5. Customer data

The customer retains rights in the data it uploads or makes available to the platform.

The customer is responsible for ensuring that it has the necessary rights and permissions to provide such data and to instruct us to process it.

The customer is also responsible for the legality, quality, and accuracy of the data it provides.

6. Permitted use

The customer and its users may use the services only in a lawful manner and only for legitimate business purposes.

In particular, users may not:

  • use the services to violate applicable law
  • interfere with or disrupt the platform or its security
  • attempt to gain unauthorized access
  • reverse engineer the platform except where mandatory law expressly permits it
  • use the platform to infringe third-party rights
  • upload malicious code or harmful content

7. Intellectual property

All rights in the website, platform, software, models, documentation, branding, and related materials remain with Fexor or its licensors, unless expressly agreed otherwise.

Subject to payment and compliance with these Terms, the customer receives a limited, non-exclusive, non-transferable right to use the services during the agreed term for its internal business purposes.

8. Service changes

We may modify, improve, replace, or discontinue features of the services where reasonably necessary, including for security, legal, technical, or commercial reasons.

Where a paid service is materially affected, we will act reasonably in light of the contractual arrangement.

9. Availability and support

Unless expressly agreed otherwise, the services are provided on a commercially reasonable basis and without guaranteed uninterrupted availability.

Planned maintenance, security measures, technical issues, third-party outages, and force majeure may affect availability.

Support levels, response times, and service levels apply only if expressly agreed.

10. Fees and payment

Fees, billing cycles, payment terms, taxes, and plan conditions are defined in the applicable offer, checkout flow, subscription plan, or written agreement.

Unless otherwise stated, fees are exclusive of taxes.

If payment is overdue, we may suspend access after reasonable notice.

11. Confidentiality

Each party shall treat the other party's non-public business, technical, commercial, and contractual information as confidential and shall not disclose it to third parties except as necessary for the contractual relationship or where legally required.

This obligation does not apply to information that is public, independently developed, already lawfully known, or lawfully received from a third party without confidentiality obligation.

12. Data protection

If and to the extent we process personal data on behalf of a customer, the relevant data protection terms or data processing agreement shall apply.

13. Aggregated and de-identified improvement data

Unless otherwise agreed in writing, Fexor may use data generated through the use of the services in aggregated, statistical, or de-identified form for service improvement, benchmarking, security, capacity planning, and product development, provided that such use does not identify the customer or any individual.

If a specific subscription plan or written agreement grants the customer an opt-out from such use, that agreement shall prevail.

14. Warranty disclaimer

To the extent permitted by law, the services are provided "as is" and "as available".

We do not warrant that the services will be uninterrupted, error-free, or suitable for a particular purpose, unless expressly agreed otherwise.

Forecasts, analytics, and model outputs are decision-support tools only and do not constitute business, legal, tax, accounting, or investment advice.

15. Liability

To the extent permitted by law, Fexor is liable only for direct damages caused by wilful misconduct or gross negligence.

Any further liability, including for indirect damage, consequential loss, loss of profit, loss of revenue, loss of data, or claims arising from business decisions taken on the basis of forecasts or analytics, is excluded to the maximum extent permitted by law.

Mandatory statutory liability remains reserved.

16. Term and termination

These Terms apply for as long as the user accesses the website or uses the services.

Subscription terms, notice periods, and termination rights are governed by the applicable plan or contract.

We may suspend or terminate access for cause, in particular in the event of material breach, unlawful use, security risks, or non-payment.

17. Changes to these Terms

We may amend these Terms from time to time. The current version published on the website applies unless a separate written agreement provides otherwise.

18. Governing law and jurisdiction

These Terms are governed by the substantive laws of Switzerland, excluding conflict-of-law rules.

The exclusive place of jurisdiction is Canton of Basel-Landschaft, Switzerland, unless mandatory law provides otherwise.
